Service Agreement Terms

By engaging our services at https://www.vivescriptsolutions.com, you accept:

• These standard terms
• Project-specific statements of work
• Supplemental service level agreements

Electronic Signature: Proposal approvals via email constitute binding acceptance.

Payment Schedule

• 30% upfront payment
• 40% milestone release
• 30% upon delivery

Late Payment

• 1.5% monthly interest on overdue balances
• $50 chargeback processing fee
• Project suspension after 15 days delinquency

Client Ownership: Transferred upon final payment

Our Retained Rights:

• Architectural patterns
• Proprietary frameworks
• Development methodologies

Open Source Components: Licensed under original OSS agreements

Cap: Total fees paid during 12-month period

Exclusions:

• Third-party service failures
• Force majeure events
• Client-provided content liability

1. Escalate to technical review board
2. Mediation (JAMS or AAA)
3. Binding arbitration in Wyoming

Excludes small claims court filings

Client-Initiated:

• 30-day written notice
• Payment for work-in-progress
• $500 early termination fee

Company-Initiated:

• Material breach of terms
• Non-payment exceeding 30 days
• Illegal activity suspicion
